Terms of Use and Remix Licence

How published videos may be reused, how the referral programme works, and what a reward is.

Publishing and the remix licence

Publishing a video to a public share link makes it viewable by anyone holding that link. You keep ownership of what you publish; Heimdall does not acquire it.

When you publish, you choose whether to allow remixing. Choosing to allow it grants every viewer of that link a non-exclusive, worldwide, royalty-free licence to reuse the published video as source material in their own edits, for as long as the link remains live. Choosing not to allow it grants no such licence, and the public page offers no reuse of that video at all.

That licence covers the edit itself and the material Heimdall generated for it. A file you uploaded yourself is licensed only when you selected that file at the moment you published, one file at a time; allowing remixing does not include any of your uploads on its own, and a file you did not select is never handed over. Each publication carries the selection it was published with, so changing it means revoking the link and publishing again.

Revoking a share link ends public access and ends the offer of this licence to anyone who had not already accepted it. It cannot retrieve copies already made. You may publish only material you hold the rights to publish and to license this way, and every published video can be reported for review and removal from its own public page.

The referral programme

Share links carry a referral parameter identifying the workspace that published them. If somebody follows one and creates an account, that signup may be attributed to the referring workspace.

  • Attribution is last touch: the most recent referral a person encountered before signing up is the one that counts, and it is recorded once, at signup.
  • Referring yourself does not earn a reward. Neither does a signup produced by paid placement of a referral link, by automated traffic, or by any other means designed to create signups rather than to introduce someone to the product.
  • Participation is not a partnership, an employment relationship or an agency: you may not present yourself as speaking for Heimdall, and you are responsible for how you share your links.
  • Heimdall may withhold or reverse a reward for an attribution it believes was obtained this way, and may suspend a workspace’s participation or end the programme. Reasonable notice will be given before the programme ends where circumstances allow.

Rewards are credits, never cash

Every reward under the referral programme is issued as Heimdall credit, applied to the receiving workspace’s account and spendable only on Heimdall usage.

  • Credit has no cash value. It is not money, it is not a payout, and it is not redeemable, refundable or exchangeable for cash.
  • Credit cannot be withdrawn, sold or transferred to another workspace or person.
  • Credit may carry an expiry, and any credit remaining when a workspace is closed is not paid out.
  • Any tax arising from receiving credit is the recipient’s responsibility.

Who these terms are with

  • The service is provided by [COMPANY LEGAL NAME], [COMPANY ADDRESS]. Contact [LEGAL CONTACT EMAIL]. You must be [MINIMUM AGE] or older.
  • Using a workspace means accepting these terms and the Privacy Policy, and the Refund Policy for purchases. The Terms and Privacy versions you accepted at sign-up are recorded with the date.

Paid plans and prepaid credit

  • Self-serve usage is prepaid: you pay first and spend afterwards. Nothing is billed in arrears for usage. Credit comes from a plan’s monthly included allowance, a purchased top-up pack, or a grant.
  • Work holds credit when it starts and is charged when its output is delivered. Failed work releases its hold, except that a social link import request that reached the third-party retrieval service is charged its provider fee even if it returned no media.
  • Purchased credit never expires. Credit has no cash value and unused credit is non-refundable, except where the law requires otherwise.
  • Top-up prices exclude tax. Applicable top-up tax is added at checkout on top of the price and never becomes credit. [PLAN TAX TREATMENT]. Payments are processed by Stripe. Heimdall does not store card numbers.

Plan renewal, changes and cancellation

  • Paid plans are subscriptions that renew automatically each billing period until cancelled. Cancellation takes effect at the end of the current period. Paid access continues until then, with no prorated refund for the remainder.
  • Downgrades are scheduled for the end of the period. An upgrade applies once payment succeeds and is charged pro rata for the rest of the period.
  • If payment fails, included and granted credit is paused and purchased credit stays spendable unless another billing hold or deficit blocks it. Cancelling a plan in good standing does not pause credit already paid for.

Deleting a workspace

  • Deleting a workspace sets its paid plan to cancel at the end of the current period if it is the billing account’s primary workspace and no other active workspace shares that account. There is no immediate cancellation and no refund. Remaining prepaid credit is not refunded or moved.
  • Access is blocked during a 7-day recovery window.

Spending limits, fraud and abuse

  • To limit fraud, a new billing account can buy a limited amount of credit in its first days. New-account purchases can be paused platform-wide when fraud losses are high.
  • Self-serve workspaces whose creator has not verified their email have lower limits. Workspaces have daily, monthly and per-job spend caps.

Billing holds and suspension

  • A full refund or chargeback of a top-up or enterprise credit purchase removes the credit it bought. Credit already spent becomes a deficit. While a deficit is open, no new metered work can start.
  • A disputed payment, a partial refund, or a fraud, compliance or manual review can place the account on a billing hold that refuses new work.
  • Heimdall may lock an account or freeze a workspace for abuse, fraud or a breach of these terms. Billing holds block new metered work; work already in progress can still settle. Credit is not paid out.
